These Terms and Conditions govern your use of the Orchid Stratos website located at orchidstox.top and, where relevant, describe the general basis on which we provide consulting services. They should be read alongside our Privacy Policy and Cookie Policy.

By accessing our website or enquiring about our services, you agree to be bound by these terms. If you do not agree, please do not use our website.

1. Agreement

These Terms and Conditions constitute a legally binding agreement between you and Orchid Stratos Pte. Ltd. (UEN: [registration number]), a company incorporated in Singapore. References to "Orchid Stratos", "we", "us", or "our" are references to Orchid Stratos Pte. Ltd.

These terms apply to website visitors and to persons who enquire about or engage our consulting services. Separate engagement terms will be issued in writing at the outset of any consulting project and will take precedence over these general terms in the event of any conflict.

2. Services described on this website

The descriptions of services on this website are provided for general information only. They describe the typical scope and deliverables of each service type, but actual engagements are scoped individually through a discovery process. Prices listed represent starting figures and may vary depending on the specific requirements of an engagement.

Nothing on this website constitutes a binding offer. An engagement is only formed when both parties have signed a written engagement letter or statement of work.

3. Consulting engagements

Scope

The scope of each consulting engagement is defined in the engagement letter issued to the client. Any work falling outside the agreed scope will be subject to a separate written amendment.

Client responsibilities

Clients are expected to provide timely access to information, personnel, and facilities reasonably necessary for us to deliver the agreed work. Delays caused by the client's failure to cooperate may affect timelines and will not constitute a breach by Orchid Stratos.

Deliverables

Deliverables are provided for the client's internal use in connection with the engagement only. They reflect our professional judgment at the time of delivery based on information available to us. Clients are responsible for their own decisions in acting on any recommendations.

4. Fees and payment

Fees for each engagement are set out in the relevant engagement letter. Unless otherwise agreed in writing:

• An initial deposit of 50% of the agreed fee is payable prior to commencement
• The balance is payable on delivery of final deliverables
• Invoices are payable within 14 days of issue
• Fees are quoted in Singapore Dollars (SGD) and are subject to applicable taxes
• Reasonable, pre-approved expenses incurred during an engagement will be invoiced at cost

Late payments may be subject to interest at the rate of 1.5% per month on the outstanding balance.

5. Intellectual property

Our pre-existing materials

Methodologies, frameworks, tools, and know-how that we bring to an engagement remain the property of Orchid Stratos. Nothing in an engagement transfers ownership of these to the client.

Deliverables

Unless otherwise agreed in the engagement letter, ownership of deliverables created specifically for a client transfers to that client upon receipt of full payment. This transfer is limited to the specific work product and does not include underlying tools or methodologies.

Website content

All content on this website — including text, design, graphics, and structure — is owned by or licensed to Orchid Stratos and may not be reproduced, distributed, or adapted without our prior written consent.

6. Confidentiality

We treat all client information shared during an engagement as confidential. We will not disclose it to third parties except as required to deliver the services, as required by law, or with the client's written consent.

Clients agree to treat Orchid Stratos' methodologies, pricing, and unpublished materials as confidential.

Confidentiality obligations survive the conclusion of an engagement for a period of three years, unless a separate non-disclosure agreement provides otherwise.

7. Limitation of liability

To the maximum extent permitted by Singapore law, Orchid Stratos' total liability in connection with any engagement shall not exceed the fees paid by the client for that engagement in the twelve months preceding the event giving rise to the claim.

We will not be liable for any indirect, consequential, special, or punitive loss, including loss of profit, loss of data, or loss of opportunity, whether arising in contract, tort, or otherwise.

Nothing in these terms excludes liability for fraud, gross negligence, or any other liability that cannot be excluded by law.

Our consulting services provide analysis and recommendations. Outcomes depend on many factors outside our control, including client decisions and market conditions. We do not accept liability for business outcomes arising from the use of our deliverables.

8. Website use

You may use this website for lawful purposes only. You must not:

• Use the website in any way that causes or may cause damage to the website or impairs availability
• Use the website to transmit unsolicited commercial communications
• Attempt to gain unauthorised access to any part of the website or its underlying systems
• Use the website to copy, store, or transmit material that is unlawful, harmful, or offensive

We reserve the right to restrict or terminate access to the website for any person who breaches these terms or who we reasonably believe is acting in a way that could harm us or others.

10. Termination of engagements

Either party may terminate a consulting engagement by giving written notice as specified in the engagement letter. In the event of termination:

• The client remains liable for fees corresponding to work completed up to the date of termination
• Orchid Stratos will deliver any substantially complete deliverables at that point
• Where a deposit has been paid, the portion attributable to work not yet commenced may be refunded at our discretion, subject to the terms of the engagement letter

11. Governing law

These Terms and Conditions are governed by the laws of Singapore. Any dispute arising in connection with these terms or our services shall be subject to the exclusive jurisdiction of the courts of Singapore.

We will always seek to resolve disputes informally in the first instance. If a dispute cannot be resolved through direct discussion, we are open to mediation through the Singapore Mediation Centre before proceeding to litigation.

12. Changes to these terms

We may update these Terms and Conditions from time to time. The current version will always be available on this page, with the "Last updated" date indicated at the top. Continued use of our website following any update constitutes acceptance of the revised terms.

Changes to terms applicable to an active consulting engagement require written agreement from both parties.
